Mr. Staples has represented businesses, professionals, and individuals in partnership and shareholder disputes, particularly those involving "freeze-outs", "squeeze-outs" and other violations of the fiduciary duty owed by owners to one another in closely held New Hampshire corporations.
For example, Mr. Staples was the lead appellate counsel for the prevailing side in the case of Kennedy v. Titcomb, 131 N.H. 399 (1989) which remains one of the few New Hampshire Supreme Court cases to discuss the liability of majority shareholders to minority shareholders in a close corporation setting.
